Official Rules

Eligibility

2025 Huemor Designs Website Design Contest (the “Contest”) is open only to US-based business entities and non-profit organizations at the time of entry. Applicants must be 18 years of age or older.

Any entity owned by Huemor Designs LLC or its employees, independent contractors, subcontractors, existing clients, and any of these parties’ immediate family members as well as any other individual, company or organization involved in the development, execution, production or distribution of the Contest (hereinafter “Excluded Parties”) as well as the immediate family (spouse, parents, siblings, and children) and household members of Excluded Parties are not eligible. The Contest is subject to all applicable federal, state, and local laws and regulations.

Participation constitutes Participant’s full and unconditional agreement to these Official Rules and Sponsor/Administrator’s decisions, which are final and binding in all matters related to the Contest. Winning the Prize is contingent upon fulfilling all requirements set forth herein. Participants and/or potential winners may be required to provide proof of identification, proof of entity documentation, and eligibility as required by the Contest Administrator.

Prizes

Contest results in ONE (1) CONTEST WINNER. The winner will receive one free Huemor-designed custom website design package (value up to $100,000) (the “Prize”). The Prize will include: an analysis of the winner’s specific website needs, strategic recommendations based on these needs, and may include digital strategy, UI/UX design, copywriting, full-stack development, SEO optimization, custom asset creation, performance optimization, up to a $100,000 value in services, depending on the recommendations. The winner will not be required to continue paid Sponsor client services after the Prize is awarded, accepted, and fulfilled, but the winner will be required to agree to Sponsor’s service terms and conditions contract (the Website Contract). The winner may be liable for third-party costs, including but not limited to hosting platforms and integrations.

The Prize is non-transferable and cannot be substituted unless, at its discretion, Sponsor notifies a winner of the need to substitute the Prize for an alternative of equal or greater value should it become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use, as well as third-party integrations/hosting fees. PRIZES ARE NOT FOR RESALE.

Agreement to Official Rules

By participating in the Contest, those submitting their application (the “Participants”) fully and unconditionally agree to and accept these Official Rules and the decisions of the Sponsor and/or Administrator, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon being compliant with these Official Rules, meeting the eligibility requirements, and fulfilling all other requirements set forth herein.

Timing: The Contest begins on October 1, 2025 at 12:00 a.m. Eastern Time ("ET") and submission will be due on October 15, 2025 (the "Contest Period"). Entries that are submitted before or after the Contest Period will be disqualified. The Contest consists of two (2) phases as set forth in the chart below.

How to Enter

During the Submission Phase, visit https://dev-huemor-2025-marketing.huemortest.com/100k-website-contest/ for the application. Complete the application and eligibility requirements, agree to the Contest Rules, and submit your application (the “Submission”).

Submission Content Restrictions

  1. Any content or information included in your Submission must be truthful and accurate, including but not limited to information about the Participant, and must not contain any material or information that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous;
  2. The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  3. The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
  4. The Submission must not contain material that is unlawful, in violation of or contrary to any Federal law or regulation as well as those of any state where the Submission is created.

Any Submission that violates these restrictions will void that Participant’s entry and that Participant will be disqualified.

Limitation

Each Participant may only submit one (1) Submission during the Submission Phase. A Participant includes one entity, and any of its holding entities, subsidiaries, and affiliates. If a Participant submits more than one (1) Submission, their first Submission will be considered, and all others will not be considered.

Potential winners may be required to show proof of being the authorized agent on behalf of the Participant and having full authority to submit the Submission and participate in the Contest on behalf of the Participant. Potential winners may be further required to show proof of being the authorized account holder of the email address used to submit the Submission. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Any attempt by any Participant to obtain more than one entry by using multiple/different email addresses, identities, registrations, and logins, or through submitting Submissions of any subsidiaries/holdings/parent companies of the Participant or any other methods will void that Participant’s entry and that Participant will be disqualified. Use of any automated program to enter will result in blocking and disqualification. Sponsor, Administrator, and Promoter are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations/Submissions, which will be disqualified.

Publicity Rights

By participating in the Contest, being selected for the Top Ten, and/or accepting the Prize, each Participants agrees to allow Sponsor/Administrator or the Administrator’s designee the perpetual right to use their entity’s name, its owner/agents/applicants’ biographical information, photos and/or likeness, voice recording, video images and all related footage, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered including for social media, television, and the internet, worldwide, without notice, review or approval and without additional compensation except where prohibited by law.

Winner Determination

Winners will be determined by Huemor Designs LLC, via the processes set forth below.

  • Application Review Period: During the Application Review Period, qualified agents determined by Sponsor in its sole discretion will select the winning Participants (“Selection Committee”) based on the following criteria (“Application Review Criteria”):
  • Growth Opportunities: The Prize will provide for growth or engagement opportunities they are not currently able to access/utilize.
  • Community Impact: The Participant provides a service or good that impacts their community in a positive way.
  • Agreed to Terms: The Participant has agreed to the Contest Rules and understands they will be required to agree to the Sponsor’s additional terms and conditions (the Sponsor’s “Website Contract”) if chosen. The Participant must also agree to receive marketing emails from Sponsor/ Administrator.

Potential Winners Contacted

Ten potential winners (the “Top Ten”) will be contacted by the Selection Committee via the email address of the original Submission by 11:59 PM ET on 10/23, 2025. The Top Ten potential winners will be asked to verify eligibility and schedule an interview with the Selection Committee. The Top Ten must reply to Sponsor/Administrator by 5pm ET on 10/25 2025, and the Selection Committee will interview the Potential winners by 10/31/2025. Failure to reply and schedule a selection interview will result in the forfeiture of the Prize. By submitting the Submission, Participants agree to be publicly announced, published, and shared on social media as participants the Top Ten.

If a Top Ten potential winner does not meet the eligibility requirements, or does not respond within the required time period to schedule the interview, the potential winner forfeits the Prize and the Selection Committee may determine another Top Ten potential winner to be contacted during the second time period detailed in Section 5. All potential winners contacted during the second time period will be contacted by 11:59 PM ET on 10/25/2025 and must respond to the Selection Committee by 11:59PM ET on 10/27/2025.

Selection Committee Interviews

The Selection Committee will conduct interviews of the Top Ten potential winners to verify eligibility and make its selection for the winner.

Winner Announced

Once eligibility of Top Ten potential winners is proven and interviews conducted, the winner will be notified via email, and the Sponspor/Administrator may announce the winner on Huemor Designs LLC social media and website.

Decision of the Contest winner is FINAL

Acceptance of any prize shall constitute and signify winner’s agreement and consent that Sponsor and Administrator may use the winner’s name, city, state, likeness, Submission and/or information/ announcements regarding the Prize received in connection with the Contest, worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Winner accepts and acknowledges that Sponsor and Administrator shall not be obligated to use the Submission and that Sponsor and Administrator in their individual sole discretion shall have the right to refrain from using the Submission. Sponsor and Administrator shall not incur any liability whatsoever to the extent they choose to refrain from any exploitation of its rights hereunder. Winners will indemnify Released Parties (as defined in Section 12, below) and any licensees of Sponsor, Administrator, and Promoter against all claims, damages, liabilities, and expenses (including attorneys’ fees and legal expenses) arising out of any breach of these terms.

Privacy

Personal information collected from Participants throughout the Contest and during the winner selection process, other than information addressed directly in these Rules, is subject to Sponsor/Administrator’s privacy policy.

General Conditions

Administrator reserves the right to cancel, suspend, or modify the Contest, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Contest, as determined by Administrator in its sole discretion. Administrator, in its sole discretion, reserves the right to disqualify any individual, entity, or Participants it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other Contest carried out by Administrator or Sponsor or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor/Administrator reserves the right to seek damages (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor/Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Release

By entering a Submission, Participants agree to release and hold harmless Sponsor, Administrator, Selection Committee, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/Contest agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

Limitations of Liability

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Participant or Released Parties, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s involvement in the Contest or receipt or use or misuse of any prize. Released Parties are not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Contest.

Disputes

Except where prohibited, Participant agrees that: (1) any and all disputes, claims and causes of action against Administrator arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the applicable court in Pennsylvania State Court located in Allegheny County, Pennsylvania and the laws of the United States of America and the Commonwealth of Pennsylvania applicable therein, and the parties hereto irrevocably agree to the exclusive jurisdiction of the courts of said state and country; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for, and waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses to participate in the Contest, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Administrator in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania.
